Getting Started
01

Acceptance of Terms

By accessing, browsing, or using the Youth Careers Canada platform, website, or any associated services (collectively, the "Service" or "Platform"), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. These Terms are a binding legal agreement between you and Youth Careers Canada ("YCC," "we," "our," or "us").

You agree to these Terms electronically, for example by creating an account or using the Service.

Using YCC means you agree to these Terms. If you do not agree to these Terms in their entirety, you must immediately discontinue all access to and use of the Service. Continued use of the Service following the posting of any changes constitutes your acceptance of those changes.

You represent and warrant that you have the full legal capacity and authority to enter into this agreement. If you are acting on behalf of a company, organization, or other legal entity, you represent that you are authorized to bind that entity to these Terms, in which case "you" refers to both you and that entity jointly and severally.

02

Eligibility

To use the Service, you must meet the following eligibility requirements at all times:

  • Minimum Age: You must be at least 18 years of age, or the age of majority in your province or territory of residence, if that is higher. The Service is intended solely for adults; we do not knowingly permit access to anyone below this age. (Following amendments to the Canada Labour Code effective June 12, 2023, 18 is the minimum age of employment in federally regulated industries in Canada.)
  • Employer Eligibility: Employers must be genuine businesses or organizations hiring for real roles.
  • Organizational Authority: Users acting on behalf of a corporation, partnership, or other organization represent that they have the full authority to bind that organization to these Terms and that the organization's use of the Service is authorized.
  • One Account Per Person: Each individual may maintain only one personal account. Each registered business or organization may maintain only one company profile. Creating duplicate accounts to circumvent suspensions, access restrictions, or usage limits is prohibited.
  • Account in Good Standing: You must not have had a previous account terminated by YCC for cause, unless YCC has explicitly granted written permission for you to re-register.

YCC reserves the right to verify eligibility at any time and to suspend or terminate accounts where eligibility requirements are not met. If you provide false information regarding your eligibility, YCC may pursue all available legal remedies.

03

Account & Security
04

User Accounts

Access to most features of the Service requires creating a registered account. By creating an account, you agree to the following obligations and responsibilities:

  • Accurate Information: You agree to provide true, accurate, current, and complete information during registration and to maintain and promptly update your account information to keep it accurate and current at all times. Providing false information is a material breach of these Terms.
  • Account Security: You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password. You must use a strong, unique password and enable any two-factor authentication features we offer.
  • Third-Party Sign-In: You may optionally sign in using your Google or LinkedIn account. When you do, the relevant provider authenticates you and shares a unique identifier, name, and email address with us to create or match your YCC account. Your use of Google or LinkedIn sign-in is also subject to that provider's own terms of service and privacy policy. YCC does not receive your social-account password and does not post content on your behalf through your social account. You remain responsible for all activity on your YCC account regardless of how you sign in.
  • No Credential Sharing: You must not share your login credentials with any other person or entity. Each user must have their own account. Employer team members must be added through the platform's official team management features.
  • Account Responsibility: You accept full responsibility and liability for all activities, transactions, and conduct that occur under your account, whether authorized by you or not, unless you have promptly notified YCC of unauthorized access.
  • Unauthorized Access: You must notify YCC immediately at [email protected] upon becoming aware of any unauthorized use of your account or any other breach of security. YCC will not be liable for any loss or damage arising from unauthorized account access where you failed to provide prompt notice.
  • Suspension and Termination: YCC may, at its sole discretion, suspend or permanently terminate your account for any violation of these Terms, fraudulent activity, or for any other reason with or without prior notice. You may close your account at any time through your account settings.
05

User Conduct & Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are solely responsible for all content you submit and all actions you take on the Platform. The following conduct is expressly prohibited:

  • Posting, uploading, or transmitting any false, misleading, deceptive, or fraudulent information, including fictitious job postings, fabricated credentials, or misrepresented qualifications.
  • Discriminating against any person on the basis of any ground protected under the Canadian Human Rights Act or applicable provincial human rights legislation, including race, national or ethnic origin, colour, religion, age, sex, sexual orientation, gender identity or expression, marital status, family status, genetic characteristics, disability, or a conviction for which a pardon has been granted.
  • Harassing, threatening, intimidating, stalking, defaming, or otherwise engaging in harmful conduct toward any other user, employer, candidate, or YCC personnel.
  • Scraping, crawling, harvesting, or otherwise conducting automated data collection from the Platform without YCC's express prior written consent. This includes using bots, spiders, scripts, or other automated tools to extract data from the Platform for any purpose.
  • Attempting to circumvent, bypass, disable, or interfere with any security measure, access control, authentication system, or technical restriction of the Platform.
  • Uploading, transmitting, or distributing any virus, malware, ransomware, trojan horse, spyware, adware, worm, or any other malicious or harmful code that may damage, disrupt, or interfere with the Platform or users' systems.
  • Sending unsolicited commercial electronic messages (spam) in violation of Canada's Anti-Spam Legislation (CASL), including sending bulk messages to candidates or employers without their express or implied consent.
  • Impersonating any person or entity, including YCC staff, other users, employers, or public figures, or falsely representing your affiliation with any person or organization.
  • Engaging in any conduct that interferes with, disrupts, degrades, or impairs the proper functioning or performance of the Platform, its servers, or connected networks, including denial-of-service attacks or excessive automated requests.
  • Using the Service for any unlawful purpose or in violation of any applicable federal, provincial, or municipal law, regulation, or ordinance, including privacy laws, employment standards legislation, and intellectual property law.
  • Retaliating against any user, candidate, or employer who has in good faith reported a violation of these Terms, filed a complaint, or participated in any investigation conducted by YCC or a government authority.
  • Posting, sharing, or transmitting any content that infringes any third party's intellectual property rights, including copyrights, trademarks, patents, trade secrets, or other proprietary rights.
  • Creating multiple accounts or using alternate accounts to circumvent a suspension, account restriction, usage cap, or any other limitation applied to your primary account.
  • Attempting to reverse-engineer, decompile, disassemble, or otherwise derive the source code, underlying algorithms, or data structures of the Platform software, except to the extent expressly permitted by applicable law.
  • Using the Platform to conduct competitive intelligence gathering, including systematically collecting data about job postings, pricing, employer activity, or candidate availability for the benefit of a competing service.
  • Posting referral links, affiliate links, or promotional codes without clear and conspicuous disclosure of the commercial nature of the link or relationship.
  • Creating, posting, or soliciting fake reviews, testimonials, endorsements, or ratings, whether for employers, candidates, or the Platform itself.
  • Engaging in coordinated inauthentic behaviour, including operating networks of fake accounts, using sock puppets, or orchestrating artificial engagement to manipulate Platform metrics, search rankings, or user perceptions.

YCC reserves the right, but is not obligated, to monitor user conduct and content on the Platform. We may remove content and suspend or terminate accounts that we determine, in our sole discretion, violate these Terms or are otherwise harmful to the Platform, its users, or third parties. Violations may also be referred to law enforcement authorities.

06

Fraud Detection & Platform Integrity

We use automated and manual checks to detect fraud, spam, fake job postings and other abuse. We may restrict, suspend or close accounts we reasonably believe are involved, without notice, and accounts closed for fraud are not eligible for refunds.

We may keep records related to suspected fraud as long as reasonably needed, and may share them with law enforcement where the law allows.

07

Account Suspension, Termination & Appeals

YCC may suspend or terminate user accounts in accordance with the following procedures. This section supersedes and expands upon any brief references to suspension or termination elsewhere in these Terms.

  • Grounds for Suspension: Accounts may be suspended for violation of these Terms, fraud detection triggers (see Section 6), safety concerns affecting users or third parties, compliance with legal requirements or court orders, or non-payment of outstanding fees.
  • Immediate Suspension: For severe violations, including confirmed fraud, safety threats to other users, or illegal activity, YCC may suspend accounts immediately without prior notice. YCC may notify the affected user of the suspension and its basis where it is reasonable to do so.
  • Standard Suspension: For less severe violations, YCC may, at its discretion, give notice by email before a suspension takes effect so the user can fix the problem or respond.
  • Effect of Suspension: Suspended users lose access to all Platform features for the duration of the suspension. Posted content (job postings, profiles) may be removed from public view. Unused credits and active subscriptions are frozen and do not accrue additional entitlements during the suspension period.
  • Termination: Permanent termination results in the irreversible removal of account access. All unused credits are forfeited without refund. User data is retained in accordance with the retention schedule described in our Privacy Policy and applicable law.
  • Appeal Process: If you think we got it wrong, email [email protected]. We may review your request; any decision is at our discretion.
  • Reinstatement: Reinstatement of a terminated account is at YCC's sole discretion and is not guaranteed.
08

Security Measures & Authentication

We use reasonable security measures to protect accounts and the Platform, and may log IP addresses and device information for security and fraud prevention, as described in our Privacy Policy.

You must use a strong, unique password, turn on two-factor authentication where offered, and tell us right away at [email protected] if you think your account is compromised.

Posting & Roles
09

Job Posting Standards

All job postings on the Youth Careers Canada Platform must meet the following standards. Employers and agencies are solely responsible for ensuring their postings comply with all applicable laws and these Terms.

  • Real Positions: All job postings must describe genuine, currently available employment positions within the posting employer's organization. Speculative or placeholder postings for positions that do not yet exist are prohibited.
  • Human Rights Compliance: Job postings must comply with the Canadian Human Rights Act and the BC Human Rights Code. Postings must not contain discriminatory language, preferences, or requirements based on any protected ground, including race, national or ethnic origin, colour, religion, age, sex, sexual orientation, gender identity or expression, marital status, family status, genetic characteristics, disability, or a pardoned conviction.
  • No Deceptive Schemes: Postings for multi-level marketing structures, pyramid schemes, business opportunity solicitations, or commission-only positions that do not clearly disclose the commission-only compensation structure are prohibited.
  • Pay Transparency: In support of pay transparency and BC's Pay Transparency Act, employers are strongly encouraged to include salary or wage information in all job postings. Where a pay range is known, it should be disclosed accurately.
  • Accurate Location: Job postings must accurately describe the work location. Remote, hybrid, or in-office arrangements must be stated clearly. Misrepresenting work location or flexibility is prohibited.
  • Posting Length: A job posting stays up for the period of the credit used to post it, unless closed by the employer or removed under these Terms.
  • Removal Rights: YCC reserves the right, at its sole discretion and without prior notice, to remove, edit, or reject any job posting that violates these standards, applicable law, or YCC's content policies. Removal of a posting does not entitle the employer to a refund of any posting fees paid.
  • No Unpaid Work: Postings for unpaid positions are prohibited unless the position complies with the BC Employment Standards Act and is part of a recognized academic internship program providing course credit through an accredited educational institution. All other internships, co-ops, or work placements must be compensated at or above applicable minimum wage.
  • No Pay-to-Work Schemes: Postings that require candidates to pay fees, purchase products, make financial investments, or incur any cost as a condition of employment or consideration for employment are strictly prohibited.
  • No Illegal Activities: Postings for positions involving illegal activities are prohibited, including roles in cannabis operations that do not comply with the Cannabis Act (Canada) and applicable provincial regulations.
  • Clear Descriptions Required: All job postings must include clear and accurate descriptions of job responsibilities, required qualifications, and any mandatory requirements. Vague or misleading descriptions that do not reasonably inform candidates of the nature of the position are prohibited.
  • No Ghost Jobs: Posting positions that do not genuinely exist, are not being actively filled, or are used solely to collect candidate data, build talent pools without a current opening, or create the appearance of company growth is prohibited.
  • Prohibited Content: Postings must not involve sexual services, escort work or adult entertainment; modelling, casting or talent searches; content that is defamatory, abusive, threatening, obscene or invades anyone's privacy; requests for money or donations; the sale of goods or services; or anything that infringes someone else's rights.

Employers who repeatedly violate job posting standards may have their accounts suspended or permanently terminated without refund of any prepaid credits or subscription fees.

10

Employer-Specific Obligations

In addition to the general obligations applicable to all users, employers and organizations posting jobs on the Platform agree to the following specific obligations:

  • Accurate Company Information: Employers must provide and maintain accurate company information, including legal company name, company size, industry classification, and business location. Misrepresenting company details is a material breach of these Terms.
  • Timely Response to Applicants: Employers are encouraged to respond to applications within a reasonable timeframe. Best practice is to acknowledge or respond to applications within 14 days. Employers who consistently fail to engage with applicants may have their posting privileges reviewed.
  • Purpose Limitation: Candidate data obtained through the Platform, including resumes, profiles, and application materials, must be used solely for the purpose of evaluating candidates for employment positions. Employers must not use candidate data for unsolicited marketing, data resale, or any purpose unrelated to hiring evaluation.
  • No Off-Platform Solicitation: Employers must not contact candidates obtained through the Platform for unsolicited marketing, non-employment solicitations, or commercial promotions unrelated to the position applied for.
  • Legal Compliance: Employers must comply with all applicable federal and provincial employment standards legislation, including the Canada Labour Code (for federally regulated employers) and the BC Employment Standards Act (for provincially regulated employers).
  • Data Confidentiality: Employers must maintain the confidentiality of all candidate application data and must not disclose, share, or sell candidate information to unauthorized third parties.
  • Remove Filled Positions: Employers must promptly close or remove job postings for positions that have been filled, cancelled, or are no longer available. Leaving stale postings active wastes candidate time and degrades Platform quality.
  • Non-Discrimination: Employers must not use the Platform to discriminate, retaliate against applicants, or engage in unfair labour practices as defined under the Canadian Human Rights Act, the BC Human Rights Code, and applicable employment legislation.
  • Company Verification: YCC may verify employer identity and business legitimacy at any time. Employers who have not completed or passed verification may have restricted access to certain Platform features.
11

Candidate-Specific Obligations

In addition to the general obligations applicable to all users, candidates using the Platform agree to the following specific obligations:

  • Truthful Information: Candidates must provide truthful, accurate, and complete information in their profiles, resumes, and applications. This includes education history, work experience, certifications, skills, and any other professional credentials.
  • No Misrepresentation: Candidates must not misrepresent their qualifications, experience, credentials, certifications, or authorization to work in Canada. Misrepresentation may result in immediate account termination and may be reported to relevant authorities.
  • Good Faith Applications: Candidates should apply only to positions they are genuinely interested in and for which they meet the stated qualifications. Submitting mass, automated, or indiscriminate applications is prohibited.
  • No Automated Applications: Candidates must not use bots, scripts, browser extensions, or any other automated tools to submit applications on their behalf. Each application must be individually initiated by the candidate.
  • Good Faith Communication: Candidates are expected to respond to employers about their applications in good faith and in a timely manner.
  • Platform Purpose: Candidates must not use the Platform to solicit employers for non-employment purposes, including sales pitches, marketing, fundraising, or other commercial solicitations.
  • Report Unsafe Behaviour: Candidates are encouraged to report any unsafe, discriminatory, or inappropriate employer behaviour encountered through the Platform by contacting [email protected].
  • Profile Currency: Candidates are responsible for keeping their profile information current and accurate.
12

Canadian Employment Law Compliance

All users of the Platform must comply with applicable Canadian employment laws and regulations. The following is a non-exhaustive summary of key legal requirements relevant to the use of this Service:

  • Federal Employment Law: Federally regulated employers must comply with the Canada Labour Code, including all provisions relating to wages, hours of work, leave entitlements, occupational health and safety, and termination.
  • Provincial Employment Standards: Provincially regulated employers must comply with the employment standards legislation of the province in which their employees work, including the BC Employment Standards Act for British Columbia employers.
  • Human Rights: All users must comply with the Canadian Human Rights Act and applicable provincial human rights codes, including the BC Human Rights Code. Discrimination in hiring on any prohibited ground is unlawful.
  • Pay Equity & Transparency: Employers subject to the Pay Equity Act (federal) must comply with pay equity obligations. All employers posting BC-based positions should comply with the BC Pay Transparency Act, which requires disclosure of pay information in job postings.
  • Workplace Safety: Employers are responsible for compliance with applicable occupational health and safety legislation and workers' compensation requirements in the jurisdictions where they operate.
  • Unpaid Internships: In British Columbia, unpaid internships are only permitted when they form part of a recognized academic credit program offered by an accredited educational institution. All other work arrangements must be compensated in compliance with the BC Employment Standards Act.
  • No Waiver of Rights: Job postings must not require candidates or workers to waive employment standards rights as a condition of employment. Any such requirement is void and unenforceable under Canadian law.
  • Platform Disclaimer: YCC is not responsible for verifying individual employer compliance with employment law. Users who become aware of postings that appear to violate employment standards legislation are encouraged to report them to YCC and to the relevant provincial employment standards branch.
  • Removal for Non-Compliance: YCC may remove job postings that appear to violate Canadian employment standards, human rights legislation, or other applicable law, without prior notice to the posting employer.
Content & IP
13

Content Ownership & Licensing

The following terms govern the ownership of and rights to content submitted to the Platform:

  • User Ownership: You retain all ownership rights in and to the content you submit, post, upload, or otherwise make available through the Platform, including your resume, professional profile, job postings, company descriptions, and any other original materials ("User Content").
  • License to YCC: By submitting User Content to the Platform, you grant Youth Careers Canada a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, host, store, cache, reproduce, display, distribute, transmit, and adapt your User Content solely in connection with operating, improving, and promoting the Service. This includes displaying your job postings to candidates, indexing your content for search, and sharing content with authorized third-party distribution partners.
  • License Termination: The license granted to YCC terminates when you delete your User Content from the Platform. However, copies retained in automated backup systems, caches, content delivery networks, or distributed storage systems may persist for a period of time until they are purged in the ordinary course. Content that has been shared with or viewed by other users prior to deletion may persist in those users' records.
  • Rights Representation: By submitting User Content, you represent and warrant that you own all necessary rights to that content or have obtained all required permissions, licenses, and consents to grant YCC the license described above, and that your User Content does not infringe any third-party rights.
  • Aggregated Data: YCC may create anonymized, de-identified, and aggregated datasets derived from User Content and Platform usage data for purposes of analytics, product improvement, market research, and reporting. Such aggregated data will not identify any individual user or employer and does not constitute a use of your personal information.
  • Feedback: If you send YCC ideas or feedback, we may use them without paying you or keeping them confidential.
14

Intellectual Property

The Platform, Service, and all associated intellectual property are protected by Canadian and international intellectual property laws. The following terms apply:

  • YCC Property: The Youth Careers Canada name, logo, brand marks, platform design, user interface, visual identity, software code, database structure, algorithms, and all original content created by YCC are the exclusive property of Youth Careers Canada or its licensors, protected by the Copyright Act (Canada), the Trademarks Act (Canada), and other applicable intellectual property legislation.
  • Restricted Use: You may not reproduce, copy, modify, create derivative works from, distribute, sell, sublicense, publicly display or perform, transmit, or otherwise exploit any part of the Platform or YCC's intellectual property without prior express written permission from YCC.
  • Trademark Use: Nothing in these Terms grants you any right to use the YCC name, logos, trademarks, service marks, or trade dress without prior written permission. Unauthorized use of YCC trademarks is prohibited and may constitute trademark infringement.
  • Copyright Notices: If you believe content on the Platform infringes your copyright, email [email protected] with your name and contact details, the work, where the content appears on the Platform, and why you believe it infringes. Canada's notice-and-notice rules under the Copyright Act apply.
Third Parties & Billing
15

Third-Party Services

The Platform integrates with and may link to third-party services, applications, and websites. The following terms govern your interaction with these third-party services:

  • Integrated Services: YCC integrates with third-party services including Stripe (payment processing), email delivery providers, Google and LinkedIn (optional social sign-in), analytics platforms, and AI providers for optional AI-assisted features. Your use of these integrated services is governed by both these Terms and the applicable third-party terms and privacy policies.
  • Independent Policies: Third-party services have their own terms of service and privacy policies, which are independent of YCC. We encourage you to review those policies before using third-party services accessed through the Platform.
  • No Responsibility for Third Parties: YCC is not responsible for the availability, reliability, accuracy, content, or practices of any third-party service or website, even if we link to or integrate with it. Third-party service outages or changes do not constitute a failure on YCC's part.
  • No Endorsement: Links to external websites or references to third-party products and services on the Platform do not constitute endorsement, sponsorship, or recommendation by YCC. Use of such external resources is at your own risk.
  • Job Aggregation Partners: YCC may enter into agreements with third-party job aggregators, search engines, and syndication partners who may display YCC job listings on their platforms. By posting a job on YCC, you consent to your posting being shared with authorized syndication partners in accordance with our syndication policies.
16

Payment Terms

Access to certain paid features of the Service requires payment. By making any purchase or initiating any paid subscription on the Platform, you agree to the following terms:

  • Currency: All fees, prices, and charges are stated and billed in Canadian Dollars (CAD) unless otherwise explicitly indicated. International payment conversions are handled by your financial institution and may incur additional fees.
  • Payment Processing: Payments are handled by our payment processor, Stripe. We never store your full card number; we keep only the card type and last four digits for receipts. By entering payment information, you authorize YCC and Stripe to charge your payment method for fees you incur.
  • Non-Transferable Credits: Job posting credits, featured listing credits, and any other Platform credits purchased are non-transferable and may not be sold, gifted, or assigned to another account or organization.
  • Auto-Renewal: Subscription plans automatically renew at the end of each billing period. You must cancel before the renewal date to avoid being charged for the next period.
  • Failed Payments: If a payment fails, YCC may notify you and attempt to process the payment again. If payment remains outstanding, YCC may suspend your access to paid features until payment is resolved.
  • Price Changes: YCC reserves the right to modify pricing at any time. For existing subscribers, price increases apply from the next billing period. Where the law requires notice, we will give it. Continued use of the Service after a price increase takes effect constitutes acceptance of the new pricing.
  • Taxes: All stated prices are exclusive of applicable taxes. You are responsible for all applicable Canadian federal and provincial taxes (GST, PST, or HST) arising from your purchase of Platform services. Where required by law, YCC will collect and remit applicable taxes.
  • Chargebacks: If you initiate a chargeback or payment dispute with your financial institution, you are responsible for any chargeback fees imposed on YCC by the payment processor. Repeated chargebacks (two or more within a 12-month period) may result in account suspension and restriction of future payment privileges. YCC reserves the right to pursue recovery of disputed amounts and associated fees.
  • Promotional Credits: Credits issued as part of promotions, referral programs, or goodwill gestures may have expiry dates, usage restrictions, or limitations on eligible services. Promotional credits have no cash value and are non-transferable. The specific terms applicable to each promotional credit will be communicated at the time of issuance.
17

Subscription & Cancellation

The following terms govern the management of subscriptions and the cancellation of paid services:

  • Right to Cancel: You may cancel your subscription at any time through your account settings or by contacting [email protected]. Cancellation does not require explanation or cause.
  • Effective Date of Cancellation: Cancellation takes effect at the end of your current paid billing period. You retain access to paid features through the end of the period for which you have already paid. No pro-rata refunds are issued for the unused portion of a billing period following cancellation.
  • No Pro-Rata Refunds: YCC does not issue partial or pro-rata refunds for monthly or annual subscription periods that have been partially used. If you cancel mid-period, you will continue to have access to the Service until the end of your paid period.
  • Credit Expiry: Credits expire as stated at the time of purchase, and immediately when an account is closed or terminated. YCC does not refund expired credits.
  • Plan Downgrades: If you downgrade from a higher-tier subscription to a lower-tier subscription, any credits or entitlements specific to the higher-tier plan that have not been consumed will not be carried over or refunded.
  • Discretionary Refunds: YCC may issue refunds at its sole and absolute discretion on a case-by-case basis in exceptional circumstances such as duplicate purchases, technical failures directly attributable to YCC that prevented service delivery, or other situations YCC deems appropriate. To request a refund consideration, contact [email protected] within 14 days of the charge.
Legal Protections
18

Confidentiality

The Platform facilitates the exchange of sensitive information between employers, candidates, and agencies. The following confidentiality obligations apply to all users:

  • Application Data: All application materials, including resumes, cover letters, portfolios, and references, shared by candidates with employers through the Platform are confidential and must be used solely for the purpose of evaluating that candidate for the specific position applied to. Employers must not use candidate application data for any other commercial purpose.
  • Unauthorized Disclosure: Employers and agencies must not disclose, sell, share, or transfer candidate information to any unauthorized third party, including other employers, data brokers, or marketing platforms, without the express written consent of the candidate.
  • Candidate Profile Visibility: Employers and agencies cannot browse or search candidate profiles. They see a candidate's information only when that candidate applies to one of their postings.
  • Survival: Confidentiality obligations under this Section 18 survive the termination or expiry of your account and these Terms and remain in effect indefinitely with respect to any confidential information received during the period of use.
19

Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Youth Careers Canada, its affiliates, officers, directors, employees, contractors, agents, licensors, and successors (collectively, the "YCC Parties") from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and disbursements) arising out of or in any way related to:

  • Your access to or use of the Service, including any features, tools, or communications made available through the Platform.
  • Any User Content you submit, post, transmit, or otherwise make available through the Platform, including claims that your content infringes any third-party intellectual property, privacy, or other rights.
  • Your violation of any provision of these Terms, our Privacy Policy, or any other YCC policy.
  • Your violation of the rights of any third party, including other users of the Platform, candidates, employers, or agencies.
  • Your violation of any applicable federal, provincial, or municipal law, regulation, or ordinance, including employment standards, human rights legislation, privacy law, and anti-spam law.

YCC reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you. In such case, you agree to cooperate fully with YCC in the defence of such claims, provide all reasonably requested information, and not settle any such matter without YCC's prior written consent.

20

  • YCC does not warrant compatibility or performance of the Service on all devices, browsers, operating systems, or network configurations.
  • YCC does not guarantee that any job is still open, or that every posting is for a real vacancy, and is not responsible if an employer fills a role before its posting is removed.
  • YCC does not guarantee that files or emails sent through the Platform are free of viruses or other harmful code. Keep your own copies of any important information you put on the Platform.
  • YCC may review content but is not required to, and any review does not mean YCC has verified it. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL YOUTH CAREERS CANADA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR IN ANY WAY RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or anticipated earnings, whether direct or indirect.

  • Damage to personal or professional reputation arising from content posted by other users on the Platform.
  • Failure to secure employment, hire a candidate, or achieve any other outcome through use of the Platform.

These exclusions apply even if YCC has been expressly advised of the possibility of such damages and regardless of the legal theory under which such damages are claimed (contract, tort, negligence, strict liability, or otherwise).

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND DESPITE ANYTHING ELSE IN THESE TERMS: (A) IF YOU HAVE NOT PAID YCC ANY FEES, YCC HAS NO LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE, AND YOUR SOLE REMEDY IS TO STOP USING THE SERVICE; AND (B) IF YOU HAVE PAID YCC FEES, YCC'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS COMBINED ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE, INCLUDING ANY CLAIM RELATING TO A PRIVACY OR SECURITY BREACH, SHALL NOT EXCEED THE LESSER OF (I) THE TOTAL AMOUNT YOU ACTUALLY PAID TO YCC IN THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE CLAIM AROSE AND (II) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Some Canadian provinces do not permit the exclusion or limitation of certain warranties or damages. In such jurisdictions, the limitations and exclusions above apply only to the maximum extent permitted by law. Nothing in these Terms limits or excludes liability that cannot be excluded by law.

Nothing in these Terms excludes or limits any right or remedy you may have under applicable consumer-protection law that cannot lawfully be excluded or limited.

Dispute Resolution

Before starting formal proceedings, both parties agree to follow this process:

  • Informal Resolution: Before pursuing any formal dispute process, you agree to contact YCC at [email protected] and attempt in good faith to resolve the dispute informally. The parties agree to engage in a 30-day good-faith negotiation period from the date of written notice before either party may commence formal proceedings.
  • Mandatory Mediation: If informal resolution fails after the 30-day negotiation period, the parties agree to submit the dispute to non-binding mediation in Vancouver, British Columbia, before proceeding to arbitration. The mediator shall be mutually agreed upon by both parties.
  • Binding Arbitration: If mediation does not resolve the dispute, any remaining controversy or claim arising out of or relating to these Terms or the Service shall be submitted to final and binding arbitration in Vancouver, British Columbia, administered under the Arbitration Act (British Columbia) and conducted on an individual basis only.
  • Class Action Waiver: YOU AND YCC EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You expressly waive any right to participate in any class action lawsuit or class-wide arbitration against YCC.
  • Your Local Law: If the law where you live does not allow any part of this section to apply to you, that part does not apply to you, and the rest of this section still applies.
  • Injunctive Relief Exception: Notwithstanding the above, either party may seek emergency or interim injunctive relief from the BC Supreme Court to prevent irreparable harm, without first complying with the informal resolution and mediation requirements of this Section.
  • Small Claims Exception: Claims with a value of $5,000 CAD or less may be brought in the BC Provincial Court (Small Claims Division) at the option of the claimant, without complying with the mediation and arbitration requirements above.

Governing Law

These Terms of Service, and any dispute, claim, or controversy arising out of or in connection with them, including any question regarding their existence, validity, interpretation, breach, or termination, shall be exclusively governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of laws principles that would cause the laws of any other jurisdiction to apply.

You irrevocably submit to the exclusive jurisdiction of the courts of the Province of British Columbia, sitting in the City of Vancouver, for any legal proceedings not subject to arbitration under Section 22. You waive any objection to the laying of venue of any such proceedings in those courts and waive any objection that those courts are an inconvenient forum.

The conflict of laws provisions of British Columbia or any other jurisdiction are expressly excluded. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

24

Force Majeure

Neither party shall be liable to the other for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond that party's reasonable control, including but not limited to:

  • Acts of God, natural disasters, earthquakes, floods, storms, wildfires, or other extreme weather events.
  • Pandemic, epidemic, public health emergency, or government-ordered quarantine or isolation measures.
  • War, armed conflict, terrorism, civil unrest, or insurrection.
  • Government action, executive order, legislative change, embargo, trade restriction, or regulatory requirement that prevents or materially inhibits performance.
  • Power grid failures, widespread internet outages, telecommunications infrastructure failures, or disruptions to cloud service infrastructure beyond the affected party's control.
  • Labour disputes, strikes, or lockouts not involving the affected party's own workforce.
  • Large-scale cyberattacks, distributed denial-of-service attacks, or other malicious acts by third parties that could not have been reasonably prevented.

The affected party must provide prompt written notice to the other party as soon as reasonably practicable after becoming aware of a force majeure event. Performance obligations shall be suspended for the duration of the force majeure event and shall resume as soon as the event ceases. If a force majeure event continues for more than 90 consecutive days, either party may terminate the affected services by written notice without liability.

Modifications to Terms

YCC reserves the right to revise, amend, or replace these Terms at any time. The following process governs how changes are communicated and take effect:

  • Material Changes: For material changes, YCC may give notice by email or a notice on the Platform, and will give any notice the law requires.
  • Non-Material Changes: Corrections of typographical errors, formatting changes, clarifications of existing provisions that do not alter their effect, and updates that are required by law may be made effective immediately upon posting without prior notice.
  • Acceptance by Continued Use: Your continued access to or use of the Service after the effective date of any revised Terms constitutes your binding acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service before the effective date.
  • Objection: If you object to a material change, you may close your account in your settings or by emailing [email protected].

We recommend reviewing these Terms periodically. The "Last updated" date at the top of this page indicates when the Terms were most recently revised.

General Provisions

The following general provisions apply to these Terms and your relationship with Youth Careers Canada:

  • Severability: If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unenforceable, or contrary to applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. All remaining provisions will continue in full force and effect and shall not be affected by the invalid or unenforceable provision.
  • Entire Agreement: These Terms of Service, together with YCC's Privacy Policy (and any other policies, guidelines, or addenda expressly incorporated by reference herein), constitute the entire agreement between you and Youth Careers Canada with respect to the Service and supersede all prior and contemporaneous agreements, understandings, representations, and warranties, whether written or oral, regarding the Service.
  • No Waiver: YCC's failure to enforce any provision of these Terms on one or more occasions shall not constitute a waiver of that provision or of YCC's right to enforce it in the future. No waiver by YCC of any breach of these Terms shall be effective unless made in writing and signed by an authorized representative of YCC.
  • Assignment: YCC may freely assign, transfer, or delegate any or all of its rights and obligations under these Terms without your consent, including in connection with a merger, acquisition, corporate restructuring, or sale of all or substantially all of its assets. You may not assign, transfer, or delegate any of your rights or obligations under these Terms to any other person or entity without YCC's prior written consent. Any purported assignment in violation of this provision is void.
  • Survival: The following provisions survive the expiry or termination of these Terms and of your account for any reason: Section 6 (Fraud Detection & Platform Integrity), Section 7 (Account Suspension, Termination & Appeals), Section 13 (Content Ownership & Licensing, to the extent of any sublicenses granted prior to termination), Section 14 (Intellectual Property), Section 18 (Confidentiality), Section 19 (Indemnification), Section 20 (Disclaimer of Warranties), Section 21 (Limitation of Liability), Section 22 (Dispute Resolution), Section 23 (Governing Law), and this Section 26.
  • Notices to You: YCC may provide notices to you via email to the address associated with your account, via in-platform notification, or by posting on the Platform. It is your responsibility to keep your email address current.
  • Notices to YCC: Notices to YCC required or permitted under these Terms must be sent by email to [email protected].
  • Independent Parties: The relationship between you and YCC is that of independent parties. Nothing in these Terms creates or implies a partnership, joint venture, agency, franchise, employment, or fiduciary relationship between you and YCC.
